Responsibilities

  • Oversee and manage all aspects of Corporate Governance within the Securities business.
  • Arrange and coordinate meetings for the Board of Directors, Board Committees, and Shareholders.
  • Ensure that all meetings adhere to SET, SEC, BOT and other relevant laws and regulations.
  • Provide guidance to the board on corporate governance best practices.
  • Act as the primary point of contact for all company secretarial matters.
  • Prepare board and committee minutes of meetings and agreements.
  • Ensure timely filing of statutory returns and other legal documents.
  • Facilitate effective communication between the board, senior management, and other stakeholders.
  • Prepare and distribute reports on corporate governance matters and compliance status to relevant parties.
  • Assist in the preparation of annual reports and other regulatory filings.
  • Collaborate with internal departments, external legal counsel, and regulatory bodies to address legal and regulatory issues.

Qualifications

  • Bachelor’s degree in laws, Business Administration, or a related field.
  • Proven experience as a Company Secretary in a securities business or financial institution.
  • In-depth knowledge of SEC/SET, securities laws, regulations, and corporate governance principles.
  • Good command of English with excellent communication, interpersonal, and organizational skills.
  • Ability to work independently and collaboratively in a fast-paced environment.
